Telemedicine SaaS Service Terms Of Use

Effective Date: October 20, 2024

Welcome to EMedicine Healthcare (“we,” “us,” “our”), a provider of HIPAA-compliant telemedicine software as a service (SaaS) for practicing physicians. This Terms of Use Agreement ("Agreement") governs your access and use of our software product, services, and website (collectively, the “Services”), which includes telemedicine solutions for healthcare providers in both the United States and Canada.

By accessing or using the Services, you (“User,” “you,” “your”) agree to be bound by this Agreement, as well as our Privacy Policy, which is incorporated by reference. If you do not agree to this Agreement, you may not use our Services.

Please read this Agreement carefully.

1. Definitions

1.1. “Services” refer to the telemedicine software platform provided by EMedicine Healthcare for use by healthcare professionals, including any updates, new features, or associated services.

1.2. “User” means any individual or entity that accesses or uses our Services, including but not limited to physicians, healthcare providers, and their staff.

1.3. “Applicable Laws” refers to laws, regulations, and professional standards, including the Personal Health Information Protection Act (PHIPA) in Ontario, Canada, the Health Insurance Portability and Accountability Act (HIPAA) in the United States, and any other applicable local, state, provincial, or federal regulations.

2. Eligibility and License

2.1. Eligibility

You represent and warrant that you are a licensed physician or healthcare professional authorized to provide healthcare services in your jurisdiction and have the authority to enter into this Agreement.

2.2. License to Use the Services

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for your professional practice, in accordance with all Applicable Laws.

3. Fees and Payment

3.1. Setup Fee

You agree to pay a one-time setup fee of $5,000.00 CAD or USD, depending on your location, at the time of registration.

3.2. Recurring Fees

You agree to pay a monthly recurring fee of $497.00 CAD or USD for continued access to the Services. Fees are due on the first day of each month unless otherwise agreed.

3.3. Payment Methods

All payments must be made via approved payment methods, including credit card or direct bank transfers. Late payments may result in suspension or termination of your access to the Services.

3.4. Taxes

All fees are exclusive of taxes, and you are responsible for paying any applicable taxes, including but not limited to sales, use, value-added, or other similar taxes.

4. Compliance with Healthcare Regulations

4.1. PHIPA and HIPAA Compliance

You acknowledge and agree that EMedicine Healthcare's Services are designed to comply with PHIPA and HIPAA. You are solely responsible for ensuring your use of the Services complies with all Applicable Laws governing the practice of medicine and patient privacy in your jurisdiction.

4.2. Patient Data

We process personal health information (PHI) in accordance with PHIPA (Ontario, Canada) and HIPAA (United States). By using the Services, you acknowledge and consent to the collection, use, and disclosure of PHI as described in our Privacy Policy.

5. User Responsibilities

5.1. Use of Services

You agree to use the Services solely for lawful purposes and in compliance with all applicable medical standards, laws, and regulations. You are solely responsible for the content and information you transmit through the Services.

5.2. Prohibited Activities

You agree not to:

- Use the Services for any unlawful or fraudulent activity.

- Engage in any activity that disrupts or interferes with the integrity or performance of the Services.

- Share your account credentials with unauthorized individuals or use another User’s credentials.

6. Termination

6.1. Termination by You

You may terminate this Agreement at any time by providing us with 30 days’ written notice and ceasing all use of the Services. You are responsible for any unpaid fees up to the date of termination.

6.2. Termination by EMedicine Healthcare

We reserve the right to terminate or suspend your account, without notice, for any breach of this Agreement, including failure to comply with any Applicable Laws or failure to pay fees.

7. Disclaimer of Warranties

7.1. No Medical Advice

The Services are designed to facilitate telemedicine consultations but do not provide medical advice. EMedicine Healthcare is not responsible for any medical decisions or diagnoses made by healthcare providers.

7.2. No Warranty

The Services are provided "as is" and "as available." EMedicine Healthcare makes no warranties or representations, express or implied, regarding the Services, including but not limited to fitness for a particular purpose, availability, or accuracy.

8. Limitation of Liability

To the maximum extent permitted by law, EMedicine Healthcare shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to this Agreement or your use of the Services. Our total liability shall not exceed the total amount of fees paid by you in the 12 months preceding the event giving rise to the liability.

9. Indemnification

You agree to indemnify, defend, and hold harmless EMedicine Healthcare, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or related to:

- Your use of the Services;

- Your violation of this Agreement or any Applicable Laws; and

- Any claims arising from your provision of medical services to patients.

10. Governing Law and Dispute Resolution

10.1. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflicts of law principles.

10.2. Dispute Resolution

Any disputes arising out of or relating to this Agreement shall be subject to binding arbitration conducted in Ontario, Canada, in accordance with the rules of the Arbitration Act of Ontario. Each party shall bear its own costs, except that the prevailing party shall be entitled to reimbursement of reasonable legal fees.

11. Modifications to the Agreement

We reserve the right to modify this Agreement at any time. Any modifications will be effective immediately upon posting on our website. You agree to review the Agreement periodically to stay informed of any updates. Your continued use of the Services constitutes acceptance of any modified terms.

This includes any requested updates, training or changes at no additional cost. A typical implementation can be as little as 2 weeks for an individual practice or 30 days for a large multi-site practice with multiple locations and providers.
